LiaPlus AI End User License Agreement (EULA)

PLEASE READ THIS END-USER LICENSE AGREEMENT (HEREINAFTER REFERRED TO AS THE “AGREEMENT”) CAREFULLY BEFORE USING OR ATTEMPTING TO USE THE LIA PLUS AI PRODUCT.

BY USING THIS LIA PLUS AI PRODUCT OR BY CLICKING THE “I AGREE” BUTTON OR ATTEMPTING TO/CONSENTING TO INSTALL THE LIA PLUS AI PRODUCT IN ANY WAY, (SUCH ACTION WILL CONSTITUTE A SYMBOL OF YOUR SIGNATURE), YOU ACKNOWLEDGE AND ADMIT THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. THIS AGREEMENT, ONCE ACCEPTED BY “YOU” (AS AN INDIVIDUAL, OR THE COMPANY OR ANY LEGAL ENTITY THAT WILL BE USING THE LIA PLUS AI PRODUCT, HEREINAFTER REFERRED TO AS ‘YOU’ OR ‘YOUR’), SHALL BE A LEGALLY ENFORCEABLE AGREEMENT BETWEEN YOU AND WRITEPLUS AI PRIVATE LIMITED. (HEREINAFTER REFERRED TO AS “LIA PLUS AI”). BY ACCEPTING THIS AGREEMENT, YOU AGREE TO COMPLY WITH ALL TERMS AND CONDITIONS OUTLINED HEREIN.
IF A SYSTEM INTEGRATOR, CONSULTANT, OR ANY OTHER PARTY INSTALLS OR USES THE LIA PLUS AI PRODUCT ON YOUR BEHALF PRIOR TO YOUR USE, SUCH PARTY WILL BE DEEMED TO BE YOUR AGENT ACTING ON YOUR BEHALF, AND YOU WILL BE DEEMED TO HAVE ACCEPTED ALL TERMS AND CONDITIONS OF THIS EULA AS IF YOU HAD INSTALLED OR USED THE PRODUCT YOURSELF.
Lia Plus AI reserves all rights not expressly granted and retains title and ownership of the Lia Plus AI product and related materials. This product, including all associated software and documentation are the property of LiaPlus AI, and is protected by copyright law.

1. DEFINITIONS

• “Device” means personal devices (such as smartphones, tablets, or other devices) used by the end user on which the LiaPlus AI product will be installed or accessed for its intended use.
• “Distributors” means the authorized distributors, agents, sub-distributors, or resellers of LiaPlus AI, who distribute the LiaPlus AI product.
• “License Period” refers to the duration of time granted for using the LiaPlus AI product, starting from the date of registration or purchase (Effective Date) until the term of the license expires, as outlined in the license agreement.
• “Support” means the technical assistance and customer service provided by LiaPlus AI or its authorized distributors or agents, which may or may not be subject to additional charges based on the terms of your specific license.
• “Updates” refers to any patches, corrections, or improvements to the LiaPlus AI product released by LiaPlus AI to enhance functionality or resolve issues.
• “Upgrades” refers to any new versions or major improvements to the LiaPlus AI product, typically released periodically, which may include enhanced features or new capabilities.
• “You” refers to the “End User,” which can be an individual, organization, or any legal entity that has registered or purchased the right to use the LiaPlus AI product.

2. GRANT OF LICENSE

In consideration of the payment of the applicable license fees and your compliance with the Terms and Conditions outlined herein, as well as any additional terms or conditions that may be agreed upon for the use of the LiaPlus AI Product, LiaPlus AI grants you a non-exclusive, non-transferable, and limited right to use the LiaPlus AI product during the License Period. This right is granted solely for the purpose of utilizing the product in accordance with the technical specifications and requirements described in the LiaPlus AI documentation.
Your use of the LiaPlus AI product is subject to the terms and conditions of this Agreement, and any use beyond the scope of this license (such as sublicensing, resale, or distribution) is strictly prohibited unless explicitly authorized in writing by LiaPlus AI.

3. PAYMENT

The license fees, along with any applicable support or service fees (collectively, the “Fees”), for the term of the license granted under this Agreement are non-refundable. By entering into this EULA, you agree to pay the Fees in full for the entire License Period, in accordance with the payment schedule outlined in the invoice or agreed-upon terms.
If no specific payment schedule is provided, the Fees will be due and payable within thirty (30) days from the receipt of the invoice.
You further agree that this EULA is non-cancelable by you during the License Period, and you are obligated to fulfill the payment obligations for the entirety of the agreed term.

4. LICENSE RESTRICTIONS

4.1 COPY RESTRICTIONS
The software and accompanying documentation provided by LiaPlus AI are protected by copyright laws. Unauthorized copying, reproduction, or distribution of the software, documentation, or any part thereof is expressly prohibited. Unless specifically authorized in writing by LiaPlus AI, the use of virtualization technology to copy or replicate the software is also prohibited.

4.2 RESTRICTIONS ON USE
This EULA grants you only the rights expressly outlined herein to use the LiaPlus AI product, and LiaPlus AI reserves all other rights. You do not acquire any additional rights, either express or implied, except those explicitly granted by this EULA. Unless applicable law provides you with additional rights despite this limitation, you agree to use the LiaPlus AI product solely as permitted by this Agreement.
By accepting this Agreement, you (including your employees, agents, contractors, and anyone authorized by you) agree not to:

a. Emulate, adapt, or modify any portion of the LiaPlus AI product.
b. Debug, decompile, reverse engineer, or otherwise attempt to derive the source code of the LiaPlus AI product.
c. Attempt to uncover or discover the underlying source code of the LiaPlus AI product.
d. Create derivative works based on the LiaPlus AI product or any portion thereof, except where applicable law grants you non-waivable rights to do so.
e. Remove, alter, or obscure any copyright, trademark, or proprietary notices or labels on the LiaPlus AI product.
f. Demonstrate, copy, sell, or distribute the LiaPlus AI product to any third party without explicit written authorization from LiaPlus AI.
g. Publish or disclose performance data or benchmarks of the LiaPlus AI product to any third party.
h. Sub-license, rent, lease, or transfer any part of the LiaPlus AI product to third parties.
i. Use the LiaPlus AI product for unlawful purposes or for activities that violate any applicable laws or regulations.
j. Assign or transfer any rights or obligations under this Agreement without the prior written consent of LiaPlus AI.

5. ACTIVATION / INSTALLATION

a. Installation and Activation
LiaPlus AI will install and activate the LiaPlus AI product either on-site or remotely. We are not liable for any data loss, downtime, or other issues that may occur during installation or activation. If you make changes to your device or alter any third-party products, you may need to repeat the activation or re-install the license key. In such cases, you should contact LiaPlus AI support.
b. Device Verification
The device you register must be verified by LiaPlus AI. If verification fails, the LiaPlus AI product will not be activated or installed. This is a requirement for activation.
c. Anti-Piracy Measures
You agree that LiaPlus AI may implement measures to prevent unauthorized use or piracy of the product. These measures will be designed to protect the integrity of the product and ensure compliance with this Agreement.

6. THIRD-PARTY WEBSITE LINKS

The LiaPlus AI product may contain links to third-party websites. These links are provided for your convenience, and LiaPlus AI does not control or endorse the content of these third-party sites. We are not responsible for any issues, damages, or losses that may arise from accessing or using third-party websites linked through the LiaPlus AI product.

7. TERM

Your right to use the LiaPlus AI product is limited to the License Period specified in your license details, beginning from the date of activation. Except in the case of evaluation, beta, or other limited-term licenses, the license term is as stated in your License Agreement.

8. FEATURES OF LIAPLUS AI PRODUCT

a. Product Features
During the License Period, you are entitled to use the features of the LiaPlus AI product as specified in your license agreement.

b. Updates and Upgrades
You will receive free updates and upgrades to the LiaPlus AI product as they are released. You agree to regularly download and install these updates. All updates and upgrades are governed by this Agreement.

c. User Responsibilities and Acknowledgements
By using the LiaPlus AI product, you acknowledge and agree to the following:
i. You are solely responsible for configuring the settings of the LiaPlus AI product, as well as any actions or results initiated by these settings. LiaPlus AI assumes no liability for any outcomes resulting from your configurations.
ii. LiaPlus AI is not liable for any data loss, including personal or confidential data, or for any changes to your device, third-party apps, contacts, or settings caused by your actions or by any third party you authorize to use the product.
iii. Some features of the LiaPlus AI product may incur additional costs. LiaPlus AI makes no warranty regarding the cost of these features and will not reimburse any expenses related to them.
iv. You are solely responsible for ensuring that your use of the LiaPlus AI product complies with all applicable laws, including privacy, copyright, and data protection laws.
v. LiaPlus AI may suggest actions to benefit your usage, such as uninstalling infected apps. These suggestions are voluntary, and LiaPlus AI takes no responsibility for any outcomes from following or not following such suggestions.

9. SUPPORT

LiaPlus AI offers technical support for the product, which may include remote assistance at your discretion. Before requesting support, you are responsible for backing up any data or programs on your device. LiaPlus AI is not responsible for any loss of data or damage during the support process. If the support request exceeds the scope of LiaPlus AI’s capabilities, we may suspend or terminate support at our discretion. No warranty or guarantee is provided for support services.

10. EMAIL/ELECTRONIC COMMUNICATION

By activating or installing the LiaPlus AI product, you agree that LiaPlus AI may communicate with you through email or other electronic channels using the contact information you provided during registration. These communications may include product verification or other updates related to the LiaPlus AI product.

11. COLLECTION OF INFORMATION

The LiaPlus AI product may collect certain information, which may or may not include personally identifiable information, to enhance product performance and detect security threats. The types of data collected include:
a. Executable files identified as potentially malware.
b. Information about the installation process, including whether the product was installed successfully.
c. URLs of websites that may be fraudulent.
d. Any type of information identified as potentially fraudulent or posing a security risk.
e. Media Access Control (MAC) address, Global Positioning System (GPS) data, and IP address of the device running the LiaPlus AI product.
f. Information for license administration and to improve product functionality.
By using the product, you acknowledge that this data may be used for analysis, reporting, and awareness purposes, including sharing with organizations or vendors for security-related research.

12. INTELLECTUAL PROPERTY RIGHTS

You acknowledge that the LiaPlus AI product, including all copies, updates, and modifications, is the exclusive property of LiaPlus AI. You do not acquire any right, title, or interest in the product or its intellectual property. Any updates, enhancements, or modifications made to the product, whether by you or LiaPlus AI, remain the sole property of LiaPlus AI.
The LiaPlus AI product, including its source code, license keys, documentation, design, trademarks, and other related content, is protected by intellectual property laws and is owned by LiaPlus AI. You do not have permission to copy, distribute, or modify the product or any of its materials. You also agree not to remove any proprietary notices or identification from the product.

13. VERIFICATION / AUDIT

Upon written request from LiaPlus AI, you will provide a signed certification confirming that you are using the LiaPlus AI product in compliance with this Agreement. LiaPlus AI may conduct an audit of your use of the product during regular business hours, without interfering with your operations. If the audit reveals unauthorized use of the product, you will be invoiced for the difference between the license fees paid and the fees applicable to your actual usage, based on LiaPlus AI’s current pricing. This additional fee will be immediately due and payable. The audit and any resulting charges are in addition to other remedies that LiaPlus AI may pursue for a breach of this Agreement, including termination as outlined in Section 17.
14. YOUR RESPONSIBILITIES

You agree to the following responsibilities:
a. You must adhere to the Terms and Conditions provided with the LiaPlus AI product. Any violation of these terms will void any applicable warranty.
b. If any issues arise with the LiaPlus AI product, you must promptly notify LiaPlus AI and request support through the designated channels.
c. You are responsible for maintaining and supporting all hardware, servers, networking products, and operating systems necessary to run the LiaPlus AI product. LiaPlus AI’s support is limited to the product itself, and you must follow any troubleshooting recommendations from LiaPlus AI to resolve issues.


15. LIMITED WARRANTY AND DISCLAIMERS

a. The LiaPlus AI product is provided “AS IS” and “AS AVAILABLE.” LiaPlus AI makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or satisfactory quality. All such warranties are expressly disclaimed to the fullest extent permitted by applicable law.
b.  LiaPlus AI does not guarantee that the product will be uninterrupted, error-free, secure, or meet your specific requirements. Any risks regarding performance, results, or suitability of the product are entirely your responsibility.
c. You understand that while the LiaPlus AI product is designed to meet certain specifications, LiaPlus AI disclaims responsibility for any issues arising from:
i. Incompatibility: Any conflicts with third-party products or hardware on your network or devices.
ii. Actions Beyond Control: Any issues caused by actions taken by you or third parties beyond LiaPlus AI’s control.
iii. External Factors: Problems arising from abuse, improper installation, theft, misuse, accidents, natural disasters, unauthorized modifications, or power issues.
iv. Infrastructure Issues: Deficiencies in your premises or network impacting the product’s operation.
v. Violations of Terms: Any issues stemming from violations of the product’s terms or this Agreement.


16. CONFIDENTIALITY

The LiaPlus AI product, its terms, and any related confidential information are the proprietary assets of LiaPlus AI (“Confidential Information”). You agree not to disclose any benchmark results, pricing, or other confidential data outside your organization without LiaPlus AI’s prior written consent. You will maintain the confidentiality of this information during the term of this Agreement and for five (5) years thereafter, ensuring that your employees and agents adhere to the same confidentiality standards.
You acknowledge that certain aspects of the LiaPlus AI product, including source code, are trade secrets. Any unauthorized disclosure could cause significant harm to LiaPlus AI, and as such, LiaPlus AI is entitled to seek injunctive relief, in addition to other legal remedies, in the event of a breach.



17. INDEMNIFICATION

a. You agree to indemnify and hold LiaPlus AI, its directors, employees, agents, and partners harmless from any claims, damages, costs, or liabilities arising from:
i. Your use or misuse of the LiaPlus AI product.
ii. Your negligence or failure to properly use the product or related support services.
iii. Any disputes with third parties regarding the product.
iv. Violations of the rights of others or breaches of this Agreement.
v. Any failure by LiaPlus AI to provide support services or other contractual obligations.
b. LiaPlus AI is not liable for any indirect, incidental, special, punitive, consequential, or exemplary damages, including loss of business, profits, data, or goodwill, even if LiaPlus AI was advised of the possibility of such damages. The maximum liability of LiaPlus AI, in any case, is limited to the total amount you have paid for the licensing of the product. Any claims will be assessed based on the current licensing agreement.

18. TERMINATION

18.1 Termination
LiaPlus AI may terminate this EULA and the license granted hereunder at its sole discretion if you breach any provision of this Agreement. Termination will not relieve you of your obligations under Section 18.2.

18.2 Effect of Termination
Upon termination of this EULA or the license granted hereunder, you must immediately cease using the LiaPlus AI product, delete the product (including any License Files) from your device, and either return or destroy the LiaPlus AI product, including documentation, packaging, and all copies. You must provide a written certification of such destruction to the product of LiaPlus AI. Termination will not affect either party’s right to pursue other available remedies, including injunctive relief.

19. GENERAL

a. Force Majeure
LiaPlus AI will not be liable for any delay or failure in performance of its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, actions by third parties, or other unforeseen events. LiaPlus AI will make reasonable efforts to complete the task as soon as possible after the occurrence of such events.

b. Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to this Agreement will be subject to the exclusive jurisdiction of the courts in Delhi, India. Should a dispute arise, the parties agree to attempt to resolve the issue through direct negotiations. If these negotiations fail within 30 days, the dispute will be referred to a sole arbitrator appointed mutually by both parties. The arbitration will be held in Delhi, India, governed by the Arbitration and Conciliation Act, 1996, and conducted in English. The arbitrator will determine the costs of the proceedings. The parties shall continue to perform their respective obligations under this Agreement during the arbitration. These provisions shall survive termination of this Agreement.

c. Complete Agreement
This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior agreements, proposals, or communications related to the LiaPlus AI product. You are bound by any and all clauses of the updated Agreement displayed on the LiaPlus AI website or communicated by other means. No waiver of any provision by either party shall be deemed a waiver of any other provision.

d. Severability
If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect, preserving the original intent of the Agreement as much as possible.

e. Survival
The following provisions shall survive the expiration or termination of this Agreement: License fees, Indemnification, Limited Warranties & Disclaimers, and Intellectual Property.

f. Assignment
You may not assign or delegate your rights or obligations under this Agreement. Any failure or delay by LiaPlus AI to exercise any right or remedy under this Agreement will not be construed as a waiver of such rights or remedies.

g. Headings
The section headings in this Agreement are for convenience only and will not affect the interpretation of the Agreement.

h. Amendments
LiaPlus AI reserves the right to amend this EULA at any time. Any updates will be posted on the LiaPlus AI website (www.liaplus.com) and will be binding upon you.
i. Cooperation with Legal Process
LiaPlus AI reserves the right to cooperate with any legal process and may provide information regarding your use of the LiaPlus AI product if required.
